These General Policy Terms & Conditions (hereinafter referred to as “these Terms”) outline the overarching principles and rules that govern interactions with Zhengzhou Quncheng Machinery Equipment Co., Ltd. (hereinafter referred to as “the Company”). All parties agree to treat such information with the utmost confidentiality, using it solely for the purposes for which it was disclosed and taking reasonable measures to prevent its unauthorized disclosure.
Personal Data: The collection, use, storage, and protection of personal data are governed by the Company’s Privacy Policy, which is incorporated herein by reference. All parties are expected to adhere to the principles of data privacy and protection as outlined in the Privacy Policy and applicable data protection laws.
Data Security: The Company implements reasonable security measures to protect its own and third-party data from unauthorized access, alteration, disclosure, or destruction.
Company’s Intellectual Property: All intellectual property rights, including but not limited to patents, copyrights, trademarks, trade secrets, designs, and know-how, associated with the Company’s products, services, processes, software, and documentation, are and shall remain the exclusive property of the Company.
Prohibited Actions: Clients and partners are prohibited from unauthorized copying, reproduction, distribution, modification, reverse engineering, or creation of derivative works based on the Company’s intellectual property without explicit prior written consent from the Company.
Client’s Intellectual Property: The Company respects the intellectual property rights of its clients and partners. Any client-provided intellectual property used by the Company for specific projects will be used solely for that purpose and protected in accordance with confidentiality obligations.
General Disclaimer: The Company strives to provide high-quality products and services. However, it does not guarantee that all aspects of its operations will be error-free or uninterrupted.
Exclusion of Indirect Damages: To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or in connection with any engagement with the Company.
Cap on Liability: The Company’s total aggregate liability for any claims arising under these Terms or related to any products or services shall be limited to the amount paid by the aggrieved party to the Company for the specific product or service giving rise to the claim, or a maximum amount of $10,000 USD, whichever is lower.
Force Majeure: The Company shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, strikes, or governmental actions.
Amicable Resolution: In the event of any dispute or disagreement arising from or in connection with these Terms or any engagement with the Company, the parties shall first attempt to resolve the matter through good-faith negotiations.
Governing Law: These Terms and any disputes related thereto shall be governed by and construed in accordance with the laws of CHINA, without regard to its conflict of laws principles.
Jurisdiction: If amicable negotiations fail, any legal action or proceeding arising out of or relating to these Terms shall be exclusively brought in the competent courts located in Zhengzhou. Both parties hereby irrevocably consent to the personal jurisdiction of such courts.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
Waiver: No waiver of any provision of these Terms by the Company shall be deemed a further or continuing waiver of such provision or any other provision, and any failure of the Company to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Survival: Articles related to Confidentiality, Intellectual Property, Limitation of Liability, Governing Law, and Dispute Resolution shall survive the termination or expiration of any engagement with the Company.
Entire Agreement: These Terms, together with any specific contracts or agreements entered into, constitute the entire agreement between the Company and the relevant party, superseding all prior discussions, negotiations, and agreements.

Specific contracts, agreements, or product/service-specific terms and conditions may contain additional or more detailed provisions that will govern those particular engagements. The Company reserves the right to the final interpretation of these Terms.
