Shipping Terms & Conditions

These Shipping Terms & Conditions (hereinafter referred to as “these Terms”) apply to all shipments of custom machinery and production lines from Zhengzhou Quncheng Machinery Equipment Co., Ltd. (hereinafter referred to as “the Company”). By placing an order with the Company, the client is deemed to have agreed to and accepted all the contents of these Terms.


 

1: Shipping Responsibilities and Incoterms

  1. Incoterms: All shipments will be governed by the International Commercial Terms (Incoterms® 2020) as published by the International Chamber of Commerce. The specific Incoterm applicable to each order will be clearly stated in the sales contract. Common Incoterms used may include, but are not limited to, EXW (Ex Works), FCA (Free Carrier), FOB (Free on Board), CFR (Cost and Freight), CIF (Cost, Insurance and Freight), DAP (Delivered at Place), or DDP (Delivered Duty Paid).

  2. Transfer of Risk: The point at which the risk of loss or damage to the goods transfers from the Company to the client will be determined by the agreed-upon Incoterm specified in the sales contract.

  3. Transfer of Ownership: Ownership of the goods will transfer to the client as stipulated in the Payment Terms & Conditions, typically upon full payment of the purchase price.


 

2: Shipping Costs

  1. Cost Allocation: Unless otherwise specified by the Incoterm in the sales contract, shipping costs, including freight, insurance, customs duties, taxes, and any other associated charges, are the responsibility of the client.

  2. Quoted Shipping Costs: Any shipping costs quoted by the Company are estimates based on prevailing rates at the time of quotation. Final shipping costs may vary and will be confirmed prior to shipment.

  3. Payment of Shipping Costs: If the Company prepays shipping costs on behalf of the client, these costs will be added to the final invoice and must be reimbursed by the client.


 

3: Packaging and Preparation for Shipment

  1. Standard Packaging: The Company will ensure all machinery and components are professionally packed to withstand the rigors of transit, using industry-standard methods suitable for international shipping. This includes robust crating, protective wrapping, and securing components to prevent movement during transport.

  2. Special Packaging: If the client requires special packaging beyond the Company’s standard, such as vacuum packaging, oversized crates, or specific material requirements, these requests must be communicated in writing and may incur additional charges.

  3. Documentation: The Company will provide all necessary shipping documentation, including packing lists, commercial invoices, certificates of origin (if requested and applicable), and any other documents required for export and import customs clearance.


 

4: Shipping Schedule and Delivery

  1. Estimated Delivery Dates: All delivery dates provided by the Company are estimates and are based on current production schedules, material availability, and lead times for shipping carriers. While the Company makes every effort to meet these estimates, they are not guaranteed.

  2. Delays: The Company shall not be liable for any delays in shipment or delivery caused by factors beyond its reasonable control, including but not limited to:

    • Acts of God (e.g., natural disasters)

    • War, terrorism, embargoes, or civil unrest

    • Strikes, lockouts, or labor disputes

    • Governmental actions, regulations, or customs delays

    • Shortages of materials, energy, or transportation

    • Carrier delays or disruptions

    • Client’s failure to provide necessary information or fulfill their obligations (e.g., late payments).

  3. Notification of Delays: In the event of any anticipated delay, the Company will promptly notify the client and provide revised delivery estimates.

  4. Acceptance of Delivery: The client must ensure that appropriate personnel and equipment are available at the delivery site to unload the machinery. The client is responsible for offloading the goods from the transport vehicle.


 

5: Inspection and Claims for Damage or Loss

  1. Client’s Responsibility for Inspection: Upon receipt of the shipment, the client is responsible for immediately inspecting the goods for any visible damage or discrepancies. This inspection should occur before signing the delivery receipt from the carrier.

  2. Reporting Damage/Loss:

    • Visible Damage: If any visible damage to the packaging or goods is noted, the client must immediately document it on the carrier’s delivery receipt and notify the carrier and the Company in writing within 24 hours of receipt, providing photographic evidence.

    • Concealed Damage: If concealed damage is discovered after unpacking, the client must notify the Company and the carrier in writing within 7 calendar days of receipt, providing detailed descriptions and photographic evidence.

    • Loss/Shortage: Any claims for loss or shortage must be reported to the Company in writing within 7 calendar days of receipt of the shipment or the scheduled delivery date if the shipment is not received.

  3. Failure to Inspect/Report: Failure to inspect the goods upon delivery and report any damage or loss within the specified timeframes may result in the waiver of the client’s right to claim against the Company or the carrier.

  4. Assistance with Claims: The Company will provide reasonable assistance to the client in filing claims with the carrier, but the ultimate responsibility for such claims rests with the party bearing the risk of loss as determined by the Incoterm.


 

6: Storage

  1. Pre-Shipment Storage: If, due to the client’s request or failure to provide necessary information/payment, the Company is required to store completed machinery or components prior to shipment, the client will be responsible for all storage costs incurred by the Company.

  2. Post-Delivery Storage: The client is responsible for arranging and bearing the costs of storage at their facility after delivery.


Please Note: These Terms are general shipping terms. The specific Incoterm, shipping schedule, and any special arrangements for a particular order will be detailed in the sales contract. The Company reserves the right to the final interpretation of these Terms.
